Carta Secures Luxembourg Fund Admin and Transfer Agency License
Carta, a platform and AI-native ecosystem for private capital, has received authorization to operate as a fully-licensed Specialised Professional of the Financial Sector (PSF) under Luxembourg’s CSSF (Commission de Surveillance du Secteur Financier). The authorization covers five statutory functions: registrar agent, corporate domiciliation agent, company incorporation and management services, administrative agent of the financial sector, and client communication agent. This adds licensed fund administration and transfer agency capabilities directly to an existing platform serving Luxembourg fund managers.
Luxembourg’s Fund Market Significance
Luxembourg ranks as the second-largest fund domicile globally, hosting approximately 5,000 alternative investment fund entities managing over €1 trillion in assets. The jurisdiction is the preferred location for more than 1,000 U.S. and APAC fund managers operating parallel or feeder structures, representing over $333 billion in assets under management. Historically, fund administration in this space required fragmented systems across jurisdictions, separate relationships for each function, and manual processes to integrate them.
The PSF authorization completes Carta’s Luxembourg offering. Existing clients with Luxembourg parallel or feeder funds now operate with a single system of record across jurisdictions. Fund managers can integrate fund administration and transfer agency into the same platform they already use for fund accounting, KYC, and closings worldwide. Carta provides access to a licensed local administrator built on its global platform.
Platform Capabilities and AI Integration
Carta has deployed Luxembourg-specific capabilities with this authorization. Lux Closings supports compliant fund structure closings across RAIF, SIF, SICAR and related regulated statuses for SCSp, SCS, SA, SCA and FCP entity types. A unified KYC form with real-time status tracking gives general partners visibility into limited partner onboarding within the platform.
AI agents underpin the entire platform, reconciling data across jurisdictions with a full audit trail. According to the authorization, 90% of cash transactions auto-reconcile within 24 hours, and 90% of capital calls are set up within 24 hours. All AI-assisted workflows undergo human verification, designed to meet CSSF requirements and deliver the audit trail demanded by Luxembourg’s regulatory environment.
Carta’s recent acquisitions—LP Portfolio Analytics, Loan Operations, Carta CRM, and Carta Law—over the past 12 months have expanded the platform into a full ERP suite for private markets. LP Portfolio Analytics offers limited partners a single portfolio view across all funds, particularly valuable in Luxembourg’s feeder-fund investor hub. Loan Operations extends the platform, establishing private credit as another addressable market for fund administration under the same PSF license.
Regulatory Compliance and Ecosystem Integration
Carta connects to Luxembourg’s broader financial ecosystem, working alongside established depositary banks and service providers that fund managers already rely on. The company’s role integrates these relationships onto one platform, ensuring every party sees the same data. Carta replaces fragmented tools with a single system of record, combining software, services, and legal infrastructure for equity management, fund administration, reporting, and transaction closings.
Carta serves 55,000 companies and 1.8 million equity holders in 160+ countries, alongside 10,000 funds and special purpose vehicles representing $250 billion in assets under management. Yves Cheret, an authorized manager at Carta, noted that Luxembourg’s complex environment, with parallel funds, feeder structures, multi-jurisdictional reporting, and detailed KYC flows, benefits significantly from a unified connected system of record. The authorization provides a licensed, proven platform tailored to one of the world’s most demanding markets, supported by fund administration experts and trusted local partners.
The authorization number is 10199274/0.
